These Terms of Service ("Terms") constitute a legally binding agreement between you and Arizon Digital LLC ("Arizon Digital", "we", "our", or "us") governing your access to and use of the website located at arizon.digital (the "Site") and any professional services we provide to you.

By accessing the Site or engaging our services, you confirm that you are at least 18 years of age, have the authority to enter into these Terms on behalf of yourself or the organization you represent, and agree to be bound by them. If you do not agree, please discontinue use of the Site immediately.

These Terms apply to general use of the Site. Specific engagements for professional services are governed by a separate written agreement or Statement of Work executed between Arizon Digital and the client. In the event of a conflict, the executed engagement agreement controls.

Arizon Digital provides professional services in digital transformation strategy, commerce modernization, systems integration, workflow automation, AI-enabled delivery, and related advisory and implementation services.

The Site is provided for informational purposes only. Nothing on the Site constitutes a binding offer or guarantee of service. All engagements are subject to a separate written agreement, mutual agreement on scope, and applicable terms specific to the engagement.

We reserve the right to modify, suspend, or discontinue any aspect of the Site at any time without notice or liability.

You agree to use the Site only for lawful purposes and in a manner consistent with these Terms. You must not:

• Use the Site in any way that violates applicable local, national, or international laws or regulations
• Transmit unsolicited or unauthorized advertising or promotional material
• Attempt to gain unauthorized access to the Site, its servers, or any related systems or networks
• Introduce viruses, malicious code, or other technologically harmful material
• Reproduce, duplicate, copy, or exploit any portion of the Site for commercial purposes without our express written consent

All content on the Site — including text, graphics, logos, images, methodology frameworks, and software — is the property of Arizon Digital or its licensors and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for your personal, non-commercial informational purposes only. This license does not include the right to reproduce, distribute, modify, create derivative works of, publicly display, or exploit any content from the Site without express prior written permission from Arizon Digital.

Arizon Digital's proprietary delivery methodology (EnCoRe: Envision, Construct, Realize), reusable solution accelerators, and any tools or frameworks developed in the course of our work remain the exclusive intellectual property of Arizon Digital unless otherwise agreed in a signed engagement agreement.

Any non-public business information, technical details, pricing, proposals, or client data shared with us in connection with an engagement inquiry or active project is treated as confidential. We will not disclose such information to third parties except as required by law or as necessary to deliver the services, with appropriate confidentiality obligations in place.

Formal non-disclosure and confidentiality obligations for active client engagements are governed by the applicable engagement agreement.

The Site may contain links to external websites operated by third parties. These links are provided for your convenience only. Arizon Digital has no control over the content, availability, or practices of third-party sites and accepts no responsibility or liability for them. Accessing third-party links is done at your own risk and is subject to those sites' own terms and policies.

The Site and all information contained on it are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, or non-infringement.

Arizon Digital does not warrant that the Site will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or suitability of any information on the Site for any particular purpose.

To the fullest extent permitted by applicable law, Arizon Digital and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including loss of profits, data, goodwill, or business interruption — arising out of or in connection with your use of or inability to use the Site, even if we have been advised of the possibility of such damages.

Our total liability to you for any claims arising out of or related to these Terms or the Site, regardless of the form of action, shall not exceed one hundred U.S. dollars (USD $100.00). Limitations of liability for professional service engagements are governed separately by the applicable engagement agreement.

You agree to defend, indemnify, and hold harmless Arizon Digital and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Site.

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Fort Bend County, Texas, and you consent to personal jurisdiction in those courts.

We reserve the right to revise these Terms at any time. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Site after any changes constitutes your acceptance of the revised Terms. We encourage you to review this page periodically.
